P0140 code

Ive replaced my upstream o2 sensor to try and resolve this code coming up but it keeps coming back. Is this code also for the downstream sensor as well ? It says sensor 2..

Bank 1, sensor 2 is the O2 sensor after the cat.

Thank you archon... Ill replace it. Ive noticed sounds like the cat is rattling when started in the mornings. I guess ill have to replace the cat as well..

Check to make sure its not the heat shield or something else rattling before you replace the cat. unless your wanting to in that case.
